These terms apply to the SourceAudit Symbian 1.2.0 software product.

THIS IS A LEGAL AGREEMENT TO WHICH YOU ARE CONSENTING TO BE BOUND. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS LICENSE, DO NOT DOWNLOAD OR USE THE SOFTWARE.

1. Software License

This is a legal agreement between you and FrontEndART Software Ltd. ("FrontEndART"). The SourceAudit software tool in binary code format and its documentation (the "SOFTWARE") is licensed by FrontEndART for use only under the terms set forth herein. The term "SOFTWARE" also includes any updates or other components of the SOFTWARE that you receive separately from FrontEndART.

You may use the SOFTWARE only after you have officially received your personal technical code ("license key") from FrontEndART, which enables the proper functioning and your legal usage of the SOFTWARE. Without the license key the SOFTWARE is not functional. This agreement applies to your usage of the SOFTWARE with the evaluation license key ("evaluation version") that enables the usage of the SOFTWARE in its full functionality and with documentation free of charge for a limited period of time, and - as applicable - to your usage of the SOFTWARE with the full license key ("full version") that enables the usage of the SOFTWARE for an unlimited period of time, in the quantity and on the platform(s) indicated on the invoice pertaining to the shipment.

All amendments and modifications to this agreement shall be made in writing signed by both parties.

GRANT OF LICENSE.

Evaluation version: FrontEndART grants you the right to use the SOFTWARE for the limited period of time indicated on the license key sent to you by FrontEndART, with one installation on a platform indicated by you upon downloading the SOFTWARE.

Full version: FrontEndART grants you the right to use the SOFTWARE for an unlimited period of time, in the quantity and on the platform(s) indicated on the invoice pertaining to the shipment. The quantity of the SOFTWARE "in use" is considered to be the number of installations of the SOFTWARE, one installation per hardware unit.

This grant of license does not allow in any manner the distribution, reverse engineering, decompilation, disassembling, or creation of derivative works from the SOFTWARE - including the fixation of errors. These rights shall remain the exclusive rights of FrontEndART.

Only for your purchase of a full version of the SOFTWARE, FrontEndART herewith agrees to deliver your full version license key to you within 15 days following your payment for the purchase has been received by FrontEndART.

TERMS.

This license agreement is effective upon FrontEndART`s delivery of the license key and shall continue until terminated. You may terminate this license agreement at any time by destroying or erasing all copies of the SOFTWARE in your possession, and by notifying FrontEndART in writing that you will not make any further use of the SOFTWARE. FrontEndART may terminate your license upon any breach by you of any terms of this license agreement.

Upon termination for any reason, you are no longer entitled to use the SOFTWARE in any way whatsoever, you agree to stop using the SOFTWARE, and to destroy or erase all copies of the SOFTWARE in your possession. Notwithstanding the termination of this license agreement, all provisions of this license agreement relating to disclaimers of warranties, limitations of liability, remedies, damages, and FrontEndART`s proprietary rights shall survive termination.

COPYRIGHT AND PROPRIETARY RIGHTS.

The SOFTWARE is owned by FrontEndART and is protected by international laws and treaty provisions. By downloading or using the SOFTWARE you acknowledge the ownership rights of FrontEndART.

You may make copies of the SOFTWARE solely for backup or archive purposes provided that you reproduce all copyright and other proprietary notices that are in the original copy of the SOFTWARE provided to you. Such backup copies may be used only for recovery purposes.

OTHER RESTRICTIONS.

You may not rent, lease, sell, lend, license, transfer, or otherwise permit any other person other than yourself to use the SOFTWARE in any manner whatsoever. You may not reverse engineer, decompile, disassemble, or create derivative works from the SOFTWARE. The entire liability for the indemnification of FrontEndART arising out of any breach by you of any terms of this license agreement is yours.

GENERAL.

This agreement shall be governed by the laws of Hungary. Any dispute, controversy or claim arising out of or relating to this agreement, or the breach, termination or validity thereof shall be conducted in the responsible Hungarian court. Any invalidity of any terms of this agreement does not invalidate the unaffected terms of the agreement. Such invalid terms shall be governed by the laws of Hungary.

2. Disclaimer of warranty

To the original customer and for the use of the full version of the SOFTWARE only, FrontEndART provides the following warranty:

LIMITED WARRANTY FOR THIRTY DAYS.

FrontEndART warrants that for the first thirty (30) days following FrontEndART`s delivery of the license key to you, or until the SOFTWARE is modified by you - whichever period is shorter - that the SOFTWARE, unless modified by you, shall perform substantially the functions described in the documentation provided by FrontEndART. In the case of your purchase of the full version of the SOFTWARE only, your sole remedy under the warranty during the thirty (30) day period is that FrontEndART shall undertake to correct within a reasonable period of time any reported failure of the SOFTWARE to perform substantially the functions described in the documentation ("Software Error"), and correct errors in the documentation. If FrontEndART is unable to provide corrected SOFTWARE or corrected documentation within a reasonable time, FrontEndART will refund the license fee of the SOFTWARE. These are your sole and exclusive remedies for any breach of warranty during the thirty (30) day period. In consideration of the grant of license, under no circumstances shall this limited warranty apply to the evaluation version of the SOFTWARE.

Except as expressly specified in this agreement, the SOFTWARE and related documentation are provided by FrontEndART "as is" without warranty or condition of any kind, either expressed or implied, including but not limited to, merchantability, fitness for a particular purpose, or noninfringement of third parties intellectual property rights. The entire risk arising out of use, performance or distribution - as applicable - of the SOFTWARE is yours.

By downloading or using the SOFTWARE you acknowledge the limitation of FrontEndART`s liability arising out of this limitation of warranty.

THE SOFTWARE IS NEITHER FAULT TOLERANT NOR DESIGNED OR INTENDED FOR USE IN SECURITY-CRITICAL ACTIVITIES OR ANY ACTIVITIES WITH A HIGH RISK FOR ENVIRONMENTAL DAMAGE, PERSONAL INJURY OR DEATH OF PERSONS. NO EXPLICIT OR IMPLICIT WARRANTY OF FITNESS FOR SUCH PURPOSE AND USE IS GIVEN BY FRONTENDART.

3. Software maintenance and support

In accordance with this agreement, FrontEndART shall have no obligation to maintain the SOFTWARE.

4. Limitation of liability

REGARDLESS OF WHETHER ANY REMEDY SET FORTH HEREIN FAILS IN ITS ESSENTIAL PURPOSE, IN NO EVENT WILL FRONTENDART BE LIABLE TO YOU FOR ANY SPECIAL, CONSEQUENTIAL, INDIRECT OR SIMILAR DAMAGES, INCLUDING ANY LOST PROFITS OR LOST DATA ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE OR ANY DATA SUPPLIED THEREWITH EVEN IF FRONTENDART OR ANYONE ELSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.

UNDER NO CIRCUMSTANCES SHALL FRONTENDART'S LIABILITY EXCEED THE RETAIL PRICE OF THE SOFTWARE.
